Terms and Conditions of Service

These Terms and Conditions of Service ("Terms") govern your access to and use of the PlayFuel platform, including the website at www.playfuelapp.com, the PlayFuel application, and all related services (collectively, the "Services") operated by PlayFuel, LLC ("PlayFuel," "we," "us," or "our").

By creating an account, accessing, or using the Services, you ("you" or "User") agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.

1. Description of Services

PlayFuel provides a cloud-based payment and club management platform designed for youth sports clubs and similar youth organizations. The Services enable Clubs to collect registration fees, dues, and other payments from families; manage player and family information; send communications; process digital waivers; and present a professional, branded experience to parents and guardians. PlayFuel processes payments through Stripe, a third-party payment processor.

2. Definitions

"Club" refers to any youth sports club, program, team, or organization that creates an account on PlayFuel to use the Services.
"Club Administrator" or "Admin" refers to the individual who creates or manages a Club account on PlayFuel, including coaches, directors, and authorized staff.
"Parent" refers to the parent, guardian, or authorized family member who interacts with the Services to make payments, complete registrations, sign waivers, and manage their family's account.
"Player" refers to the youth athlete participating in a Club's program whose information is managed through the Services.

3. Account Registration and Responsibility

3a. Club Accounts

The individual who creates a Club account on PlayFuel represents and warrants that they have the authority to bind the Club to these Terms. The Club Administrator is responsible for all activity that occurs under the Club's account, including maintaining the confidentiality of login credentials and ensuring that any additional users granted access to the account comply with these Terms.

You agree to provide accurate and complete information during registration and to keep your account information current. PlayFuel reserves the right to suspend or terminate accounts that contain false or misleading information.

3b. Parent Accounts

Parents who register through a Club's PlayFuel portal agree to provide accurate information about themselves and their children. Parents are responsible for maintaining the security of their account credentials and for all activity under their account.

3c. Age Requirements

Club Administrator accounts may only be created by individuals who are at least 18 years of age. Parent accounts may only be created by individuals who are at least 18 years of age. Children under the age of 13 are not permitted to create accounts or directly provide personal information through the Services.

4. Fees and Billing

4a. Platform Subscription

Club accounts are billed a monthly platform subscription fee based on the selected plan tier (Starter, Growth, or Pro). The subscription fee is charged on the same calendar day each month and is non-refundable. Plan details and pricing are available on our website at www.playfuelapp.com.

4b. Per-Player Fee

In addition to the platform subscription, Clubs are charged a fee of $1.50 per active player per month. This fee is calculated based on the number of active players in the Club's account as of each billing date and is charged automatically to the payment method on file. By activating your account, you expressly agree to this ongoing per-player charge.

4c. Payment Processing Fees

Payments collected from families through PlayFuel are subject to standard payment processing fees as determined by Stripe. By default, processing fees are passed through to the paying parent or guardian as a convenience fee. Clubs may opt to absorb these fees in their account settings. Processing fee rates are determined by Stripe and may be subject to change.

4d. Fee Changes

PlayFuel reserves the right to modify subscription fees, per-player fees, or other charges with at least thirty (30) days' written notice via email to the Club Administrator. Continued use of the Services after a fee change takes effect constitutes acceptance of the new fees.

5. Refund Policy

All fees paid to PlayFuel are non-refundable. This includes platform subscription fees, per-player fees, and any other charges billed to the Club. PlayFuel does not issue refunds for partial months of service, unused features, or account cancellations made mid-billing cycle.

Refund policies for payments collected from families (registration fees, dues, etc.) are determined solely by the Club. PlayFuel is not responsible for issuing, mediating, or enforcing refunds between Clubs and families. Clubs are encouraged to establish and communicate their own refund policies to families prior to collecting payments.

6. Payment Processing and Stripe

PlayFuel uses Stripe, Inc. as its primary payment processor. All payment transactions processed through PlayFuel are handled by Stripe's infrastructure and are fully PCI-DSS compliant. PlayFuel does not store credit card numbers or sensitive payment credentials on its own servers.

By using PlayFuel, you also agree to Stripe's Terms of Service (https://stripe.com/legal) and Connected Account Agreement, which govern the processing of payments through the platform.

Inquiries related to payment processing, transaction disputes, or Stripe account issues should be directed to Stripe directly at https://stripe.com/support.

PlayFuel is not liable for delays, errors, or service interruptions caused by Stripe or any third-party payment network.

7. Parent Payment Disputes and Chargebacks

If a parent or guardian initiates a payment dispute or chargeback with their bank or credit card issuer for a payment collected through PlayFuel, the Club is ultimately responsible for the disputed amount and any associated chargeback fees assessed by Stripe.

PlayFuel will make reasonable efforts to assist Clubs in responding to disputes but is not liable for the outcome of any dispute or chargeback proceeding.

Clubs are responsible for maintaining clear communication with families regarding fees, billing schedules, and refund policies to minimize the risk of disputes.

8. Data Ownership and Privacy

8a. Club Data Ownership

All data entered into PlayFuel by or on behalf of a Club — including player information, family contact details, payment records, waivers, and team rosters — belongs to the Club. PlayFuel does not claim ownership of Club data.

8b. No Selling or Sharing of Data

PlayFuel maintains a strict policy against selling, renting, sharing, or otherwise distributing Club data or family data to third parties for marketing, advertising, or any purpose unrelated to providing the Services. Data is used solely to operate and improve the platform.

8c. Data Access During Non-Payment

If a Club has outstanding unpaid fees and fails to bring the account current after notice, PlayFuel reserves the right to restrict access to the Club's account, including Club data, until all outstanding balances are resolved. PlayFuel will not delete Club data due to non-payment without providing at least sixty (60) days' written notice.

8d. Data Export

Clubs in good standing may request an export of their data at any time. Upon account termination, Club data will remain available for export for thirty (30) days. After this period, PlayFuel may permanently delete the data.

8e. Children's Data

PlayFuel collects limited information about minor athletes (name, age, team assignment, and emergency/medical information provided by Parents or Club Administrators) solely for the purpose of Club administration. PlayFuel does not knowingly collect personal information directly from children under the age of 13. All information about minors is provided by their parent, guardian, or authorized Club Administrator. PlayFuel does not use children's information for any purpose beyond providing the Services. 8f. Privacy Policy

Our collection, use, and disclosure of personal information is further described in our Privacy Policy, available at www.playfuelapp.com/privacy. The Privacy Policy is incorporated into these Terms by reference.

9. Acceptable Use

You agree to use PlayFuel only for lawful purposes related to the operation of a legitimate youth sports club or similar youth organization. You may not use PlayFuel to:

Collect payments for illegal activities or purposes unrelated to youth organization operations
Commit or facilitate fraud, misrepresent your organization, or engage in deceptive practices
Distribute malware, viruses, or other harmful code
Attempt to gain unauthorized access to PlayFuel's systems, other users' accounts, or any computer network
Interfere with or disrupt the integrity or performance of the Services
Harvest or collect information about other users without their consent
Violate any applicable local, state, federal, or international law or regulation

PlayFuel reserves the right to suspend or terminate any account that violates this acceptable use policy, with or without prior notice.

10. White-Label Branding

Clubs on the Growth and Pro plan tiers may customize the appearance of their parent-facing portal with their own branding (logo, colors, and organization name). Club Administrators are solely responsible for ensuring that any branding, logos, images, or content they upload to the platform do not infringe upon the intellectual property rights of any third party.

PlayFuel reserves the right to remove any content that it reasonably believes infringes on third-party rights or violates these Terms.

11. Intellectual Property

PlayFuel retains all ownership rights to the PlayFuel platform, software, branding, logos, documentation, and related intellectual property. Your subscription grants you a limited, non-exclusive, non-transferable license to use the platform for the duration of your active subscription.

You may not copy, modify, distribute, sell, lease, reverse-engineer, decompile, or create derivative works based on the PlayFuel platform or any part of the Services without prior written consent from PlayFuel.

All trademarks, service marks, and trade names used in connection with the Services are the property of PlayFuel, LLC or their respective owners.

12. Account Suspension and Termination

12a. Termination by the Club

You may cancel your PlayFuel subscription at any time by contacting PlayFuel support at support@playfuelapp.com. Cancellation takes effect at the end of the current billing cycle. No refunds are issued for the remaining portion of a billing period.

12b. Termination by PlayFuel

PlayFuel may suspend or terminate a Club's account for non-payment, violation of these Terms, or any conduct that PlayFuel reasonably determines to be harmful to the platform, other users, or PlayFuel's reputation. PlayFuel will make reasonable efforts to provide notice before termination except in cases involving fraud, illegal activity, or other urgent circumstances.

12c. Effect of Termination

Upon termination, access to the Services is revoked. Club data remains available for export for thirty (30) days following termination. Outstanding fees remain due and payable regardless of termination.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PLAYFUEL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

PLAYFUEL DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. PLAYFUEL DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICES.

YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLAYFUEL'S TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE USE OF THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO PLAYFUEL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL PLAYFUEL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITIES, OR BUSINESS INTERRUPTION, EVEN IF PLAYFUEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

15. Indemnification

You agree to indemnify, defend, and hold harmless PlayFuel, LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising from or related to:

Your use of the Services
Your violation of these Terms
Your collection of payments from families through the Services
Any dispute between your Club and a parent, guardian, family member, or athlete
Your violation of any applicable law, regulation, or third-party right
Any content, branding, or materials you upload to the platform

16. Modifications to Terms

PlayFuel reserves the right to update or modify these Terms at any time. We will provide at least thirty (30) days' notice of material changes via email to the Club Administrator on file. Continued use of the Services after the effective date of any changes constitutes acceptance of the updated Terms.

If you do not agree to the changes, you may cancel your account before the changes take effect.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Utah, without regard to conflict of law principles. Any disputes arising from or related to these Terms or the use of the Services shall be resolved in the state or federal courts located in Salt Lake County, Utah. Both parties consent to the personal jurisdiction of these courts.

18. General Provisions

18a. Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and PlayFuel regarding the use of the Services and supersede all prior agreements and understandings.

18b. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

18c. No Waiver

No waiver by PlayFuel of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition, and any failure of PlayFuel to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

18d. Assignment

You may not assign or transfer your rights or obligations under these Terms without PlayFuel's prior written consent. PlayFuel may assign its rights and obligations under these Terms without restriction.

18e. Force Majeure

PlayFuel shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet or telecommunications failures, or third-party service provider outages (including Stripe).

By clicking "I Agree," creating a PlayFuel account, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions of Service, including the non-refundable fee policy, the ongoing per-player charge of $1.50 per active player per month, and the data policies described herein and in our Privacy Policy. You represent that you have the authority to accept these Terms on behalf of your Club or organization.
